Our services include day-to-day counseling regarding routine legal issues facing the daily operation of a business. These can range from general contract review and battle-of-the-forms issues to the preparation of distributorship agreements and the other day-to-day matters that routinely arise. We serve as general counsel for many of our publicly and privately held corporate clients.
The Corporate/Transactional Group is led by Isaac Neuberger. He is an advisor to senior management and boards of directors of a number of public and privately held companies and specializes in negotiating creative and unusual business solutions.

Our tax attorneys counsel clients regarding domestic and foreign federal income tax matters, as well as state and local tax matters. Our clients include business entities, such as corporations, partnerships, joint ventures and individuals. We have a particular focus on counseling business clients concerning the tax aspects of the formation, financing, operation, and termination of their business activities. We have a particularly extensive practice in wills and estates, and we provide advice to numerous individuals and fiduciaries regarding the law of wills and trusts and the creation of offshore trusts to protect and dispose of property. Planning for many clients involves multi-jurisdictional issues and worldwide investments.
Our tax attorneys work closely with other members of our firm's Business Group regarding mergers, acquisitions, and corporate matters, including, when appropriate, counseling them regarding the potential benefits of electing or converting to S Corporation status under relatively recent new federal tax regulations. Our attorneys also litigate tax disputes, assist clients in connection with proposing new tax legislation, and counsel clients regarding state and local taxation.
