Bob’s practice is focused primarily on individual and business tax and corporate planning, real estate joint ventures and financing, and mergers and acquisitions. Over the past several years, significant representative transactions that give a feel for his clients and his work include:

 

  • Representing the developer in a $100 million re-development of an affordable housing project in Baltimore City utilizing a combination of public and private financing, including the syndication of low-income housing tax credits;
  • Representing the joint venture purchaser of a satellite phone system from a bankrupt seller;
  • Representing management in the roll up of over Twenty (20) commercial real estate properties into a master partnership; and,
  • Representing local and national real estate developers in numerous joint ventures, financings, and acquisitions and sales (including, 1031 like-kind exchanges).

In addition to Bob’s outstanding legal training, he adds significant value to every corporate matter by being both a Certified Public Accountant (CPA) and a University of Pennsylvania Wharton Business School graduate.

  • Representation of developers and investors in complex and sophisticated real estate limited liability company and partnership joint ventures
  • Representation of sponsors and developers with respect to low income tax credit and new market tax credit syndications
  • Advice and representation with respect to like-kind exchanges, including reverse exchanges and acting as a Qualified Intermediary
  • Representation of buyers, sellers and investors in connection with the purchase and sale of commercial real estate, including transfer and recordation tax planning
  • Representation of borrowers in connection with real estate financing, including securitized loans and bond financing

Mergers and Acquisitions

 

  • Tax planning for the sale, purchase and reorganization of a business, including mergers, spin-offs, split-ups and other tax-advantaged techniques
  • Representation of buyers, sellers and investors in connection with the sale and purchase of assets, corporate stock and LLC/partnership interests in the sale and purchase of a business

  • Complex tax planning for corporate business owners
  • Preparation of buy-sell agreements, shareholder agreements, employment agreements and other contracts
