
Roger N. Simon
Roger Simon, a Principal with Neuberger, Quinn, Gielen, Rubin & Gibber, P.A., is an accomplished attorney with extensive experience across a broad range of transactional matters. His practice includes commercial lending and loan syndications, joint ventures, company and asset portfolio acquisitions, and complex commercial real estate transactions, including the acquisition, development, financing, leasing, restructuring, and disposition of large real estate projects and distressed debt. He regularly represents investment banks, money center banks, insurance companies, other financial institutions, and institutional real estate investors.
Roger also advises clients on the formation and governance of business entities, including the drafting and negotiation of organizational documents such as articles of organization and incorporation, limited liability company and partnership agreements, bylaws, and related instruments. His commercial lending work involves negotiating and drafting loan agreements, promissory notes, mortgages, security instruments, guaranties, and ancillary loan documents. In connection with real estate acquisitions and development projects, Roger negotiates and prepares purchase and development agreements, easements, and restrictive covenants, and conducts due diligence by reviewing title reports, surveys, and related materials and resolving title and survey issues.
